Governance that survives a due diligence questionnaire

We record who invented, who owns, which group company is on the register, and whether the assignments were executed before the filing date that matters. That sounds clerical until a Series A counsel asks for it on a Thursday.

Licences are abstracted: field, territory, royalty, change-of-control, and whether they survive insolvency. Designs under the Registered Designs Act 1949 sit next to unregistered UK design right and copyright in software and packaging, so the overlap is visible rather than accidental.

Quarterly, the board gets a ten-page pack: heat map of spend, rights approaching decision points, watch hits, and a one-line view of residual risk. No dashboard theatre.
